The italian reform of corporate law has renewed the financial structure of s.p.a., increasing mandatory autonomy. Particularly, the reform of 2003 introduced new types of shares, bonds and hybrid-instruments. In this doctoral thesis is analyzed which are the spaces of the shareholders and of the company in drafting the financial structure of the italian company limited by shares.
