The purpose of my thesis is to analyze the business agency agreement examining the nature and effect of this type of agreement between the legal system of European Union and Iran concentrating on contractual representation with its two categories of direct and indirect contracts relying on the concept of indirect representation. The reason for my research accomplished in this discipline of Agency (representation) agreement in particular, indirect agency representation is specific features as well as differences which can be found between contracts of this nature between these two legal systems namely, European Union legislation and Iran legislative framework. Undoubtly, practical application of these agreements in facilitating the expansion of trade across borders as well as momentous and increasingly need to more knowledge and awareness for concluding and execution of these contracts together with having the opportunity of brilliant and knowledgeable scholars and supervisors who patiently helped me and guided me to handle and conduct my research have been my great motive in picking this topic for my dissertation. Applied methodology in this research will be comparative analysis conducted on nature and effects of indirect type of agency agreements between two legal systems under our scholarly debate in this research. This dissertation is divided into three chapters and each chapter is dealing with crucial and fundamental aspects needed to be mastered concerning this selected discipline of International contracts. Chapter one is introductory which describes main goals of this thesis as well as proving essential definitions. Chapter two provides us with an overview on agency relationships including elements of this relationship, subject and purpose of such institution and the concept of nature and effect in agency relations as well. Chapter three concentrates on nature of indirect representation agreements and investigates the relationship created between two contract parties relying on mutual commitments pertaining to the nature of agency contracts between European Union and Iran's system of law
