The thesis analyses juridical relations amongst the parties of a group of companies and the role of contract in the formation and regulation of groups of companies. More specifically, the study analyses the so-called “Beherrschungsvertrag” and its eligibility in the Italian legal system, as well as the limits to contracts governing groups of companies under mandatory Italian Corporation laws. The final part contains an in-depth analysis of the practical problems that often arise in relation to intra-group service contracts and offers possible juridical solutions in alternative to the liability action under art. 2497 of the Italian Civil Code.
